Terms and Conditions for Crozdesk Vendors

Welcome to Crozdesk! Thank you for using our service. The Crozdesk service is fully owned and operated by Crozdesk Ltd. The following Vendor Policy outlines the terms associated with various Vendor services Crozdesk Ltd offers.

For the purposes of this Vendor Policy, the Terms of Use, and the Privacy Policy, Crozdesk and Crozdesk Ltd will be used interchangeably or referred to as “we" or "us" or the "Company". Furthermore, “Vendor”, “Software Vendor”, and “you” will be used interchangeably in this policy as well and refers to any person or entity using the Crozdesk service or any of its sub-sites, sub-domains, and/or product components, with the intention to list, promote or otherwise publish a software and/or other product of any type. Furthermore, this policy refers to Vendor submitted software products as “Products”, “Vendor Services” or “Listings” and individual site users directed to a Vendor website via a paid-for campaign as “Referrals”. The following Vendor Policy (collectively, the “Vendor Policy") applies to any interactions a Vendor has with https://crozdesk.com and any sub-sites, or sub-domains, thereof, including, but not limited to, any service components, web resources and/or content found on our sites (the “Website”). The Vendor Policy also includes our Terms of Use and Privacy Policy, which can be found here: https://crozdesk.com/terms-of-use; and here: https://crozdesk.com/privacy-policy, respectively.

The policy sets out the different ways in which Vendors are allowed to, and are obligated to, interact with the Website. It outlines the obligations and requirements of the Vendors, the Website and website owners. By using the site as a Vendor, or providing personal or company information upon vendor registration, filling in a product submission form, or engaging with a Vendor Service in any way, Vendors explicitly accept this Vendor Policy.


Listing Requirements

Please find our requirements for new listings below. However, we reserve the right to accept or decline to list Products, which do or do not abide by the following requirements at our sole discretion:

1. The core product is a web-based software application that runs (at least partly) within a web browser.
2. The product is mature to the extent that its core functionality has been fully released (i.e. not in beta stage).
3. The product fulfils a useful purpose, solving a real problem for its users.
4. The product is for business or creative use.
5. The product supports English as a language.

Crozdesk maintains the right to delete, alter or request changes to a Listing and reserves full discretion and final approval rights in relation to Listings published on the Crozdesk website, partner websites and other sites/products Crozdesk operates.


Vendor Relationships

Crozdesk features Vendors that are or are not part of affiliate programs for which we may or may not receive a commission.

We maintain full discretion over whether or not to feature Vendors on our site free of charge or otherwise. If a fee is payable, then the fee will be negotiated on a case-by-case basis with the individual Vendor. We reserve the right to refuse any Vendors that submit their service to Crozdesk regardless of their applicability to our stated listing requirements.

The featured Vendors do not by their inclusion endorse the content and manner in which they are featured on our site, nor does Crozdesk Ltd.

Furthermore, a Vendor may have a relationship with the Company that is governed by these terms, by a mixture of these terms and another agreement, or by another agreement entirely.


Listings

Listings can be created by Users, Vendors and the Company, and may contain publicly available information on publicly available products. The Company aims to protect Users’ freedom of speech and provide information to the public that it believes is in the public’s interest to have access to. While we try to feature relevant and accurate information on all featured Listings at all times, this is not always possible. If you are the owner of any copyrighted material on our site or you believe that our efforts to provide accurate information have not been successful in a specific case, please let us know via the contact page as soon as possible and we will take appropriate steps to investigate.


Paid Promotional Campaigns

Paid Promotional Campaigns (or ”Pay-Per-Click Campaigns”, or ”PPC Campaigns”) enable Vendors to promote their Listings to generate direct web referrals (“Referrals”) and get access to additional marketing services. Vendors running Paid Promotional Campaigns agree to pay Crozdesk Ltd on a Pay-per-click basis on a prior-agreed upon cost per click (“Cost Per Referral”) basis within a prior-agreed timeframe.

Paid promotional campaigns are entirely optional for Vendors and do not constitute any legal commitment on the part of Crozdesk Ltd to verify Referral user details or guarantee any commercial benefit outlined in promotional literature, on the Website, or otherwise - explicit or implied. While Crozdesk aims to help its clients as best it can, we can not guarantee any other benefits than what is outlined in this Vendor Policy.

It is the Vendor’s responsibility to take any and all necessary steps and claim full responsibility for the security and experience of any Referral user, paid or otherwise, referred from the Crozdesk site. Furthermore, Crozdesk can not take any responsibility for the actions or losses resulting from referred users’ actions.

Vendors are not committed to any minimum timeframe or budget other than the vendor portal [vendors.crozdesk.com] requirement. Vendors agree that the provision of monthly budgeting limits and self-service campaign management features within the vendor portal provides sufficient ability to terminate and manage their billing relationship with Crozdesk Ltd at any time and as a result, Crozdesk Ltd will not be held responsible for disputed amounts charged for verified Referrals.

Crozdesk reserves the right to restrict, extend or alter visibility of Referral buttons, features or listing positions on the Website at any time, at its sole discretion. If a Vendor has purchased a credit package at any time prior to the removal or change of a feature, which demonstrably impacts their ability to generate Referrals via the Crozdesk website, the Vendor may request a refund equaling the value of any pre-paid account Credit within a reasonable time-frame after an official request to cancel their account. Free or used credits can not be refunded. This request needs to outline a reasonable argument supporting their case. It is the Vendor’s responsibility to ensure that they are happy with the standard and quality of Referrals (implicitly or explicitly) provided via the Crozdesk website at any point in time.

Crozdesk reserves the right to feature Vendor information and run Referral campaigns on any Crozdesk or partner service, product or website. For the purposes of this policy, Referrals generally refer to a click by a user on the Crozdesk website, and/or on any partner website Crozdesk controls or features content on, on any links that refer the user to (a) Vendor defined landing page(s). Indicated Cost Per Referral prices will be deducted from a Vendor’s pre-purchased Credit account balance, or billed retrospectively against their predefined payment method as set out below.

Crozdesk will try to to ensure that the majority of Referral clicks are generated by real human users instead of bots, but cannot guarantee that this will always be the case. If a Vendor notices that a bot generated Referral lead to a deduction of credit or other form of charge to the Vendor account, the Vendor can notify Crozdesk and an investigation will be performed. Should this reveal that the Vendor was correct Crozdesk will refund the deducted or billed credits in form of account credit (not cash or other forms of payment). Crozdesk reserves the right to add, remove or change features relating to this or any other platform component at its discretion.


Credit and Top Ups

Next to direct and retrospective billing, Vendors are able to purchase multiple packages of Crozdesk Credit which can be used as a payment source for paid promotional campaigns on a positive credit basis at the conversion of (1) Crozdesk Credit to one (1) US Dollar. Currency conversions are performed by the Vendor’s financial institution into US Dollars and Crozdesk Ltd holds no responsibility for conversion rates from different currencies.

Crozdesk Credit Referral conversion rate are preset within the vendor portal and subject to change at any time without notice.

Crozdesk Credit has no monetary exchange value and any additional credit or promotional / customer service incentives offered are non-refundable.

Crozdesk Credit is only valid for twelve (12) months from the date of purchase (conversion) and acceptance of expired credit is at the sole discretion of Crozdesk.


Payment Terms and Methods

Vendors opting into Referral campaigns or any other promotional service agreements with Crozdesk Ltd agree to provide accurate and timely payment methods in-good working order within their account on the vendor portal in order to facilitate the billing for services rendered or to be rendered at any point in time. Vendors agree to pay Crozdesk Ltd for all Referrals accrued over an agreed upon period within five (5) working days of the end of the period and allow Crozdesk to charge their chosen payment method immediately or anytime after the period ends, unless otherwise agreed, if a payment method is supplied.

It is the Vendors’ responsibility to make sure that their supplied payment method is timely and in-good working order at any point in time. Crozdesk Ltd generally provides invoices within the Vendor portal after payment is received and email notifications of charges.

Any disputes for Referrals or payments must be raised within five (5) working days of payment by contacting Crozdesk Ltd via a suitable contact point on its website. Crozdesk Ltd will not be held responsible for any payment disputes brought forward beyond this time.

In the event that Crozdesk ceases to trade or undergoes liquidation any outstanding Vendor account credit will not be refunded.


Additional Top Up Benefits and Discounts

Additional services or benefits offered as part of a Crozdesk credit top up package, are subject to change without notice. Purchases are made on an individual basis and generally cannot be combined, except at the sole discretion of Crozdesk Ltd. Additional services offered as part of a Crozdesk Credit package are liable to change without notice and will generally be applied to the Vendor account within a period of thirty (30) days where possible.

Discounts on purchases of Credit packages and additional services are offered at Crozdesk’s sole discretion. Time limited promotional offers are only valid for the time indicated for each individual offer and cease being valid once removed from the Crozdesk website. Crozdesk has the right to refuse or resolve purchases upon learning about violations or for no reason whatsoever at its sole discretion.

Crozdesk Ltd reserves the right to change the specifics of any promotional package or remove any package from sale without notice and without replacement.


Budgets / Limits

Crozdesk Ltd. will supply Vendors with self-management functionality to adjust their billing method, monthly credit limit, and purchase additional Credit packages. Vendors can generally update their monthly budget at any time, but budget adjustments may take some time to take effect and might only be applied for the next day after the update has been made (based on GMT+00:00:00) or after the last adjustment has been saved. The monthly available budget must not be lower than the minimum allowed by the Crozdesk system at any given time. Adjustments that decrease the monthly budget below the minimum allowed amount will automatically be increased to said limit. Crozdesk reserves the right to change the minimum allowed threshold at any time without notice and at Crozdesk’s sole discretion.

Crozdesk reserves the right to charge vendors for any delivered Referrals, as long as these Referrals were delivered as part of an agreed upon Paid Promotional Campaign and the cost of these Referrals did not exceed any Vendor defined budget limits at the moment in time that these Referrals were generated.

Budgets are soft guidelines only, and actual spend may vary and exceed the limit in some rare cases. Crozdesk will not be held liable for any claims resulting from the exceeding or not reaching of budget thresholds, but will issue a partial refund (in form of credit) if a Vendor notifies Crozdesk that his budget should under no circumstances be exceeded.


Refund Policy

Given the digital nature of items and services Crozdesk is offering and which the customer buys, Crozdesk generally does not offer refunds on credit unless required under United Kingdom consumer law or other relevant consumer protection laws. If a customer would like to request a refund or credit on a purchase, he should open a help request.

Crozdesk will assess refunds or credit requests on their merits, considering the digital nature of Crozdesk items and the type of item preview that was available before purchase.

Free Credits granted for bulk credit purchases or through any special offers are non-refundable and will be accepted in exchange for Referrals or other promotional services, only when no other credit is available to be redeemed for services offered by Crozdesk.

Regarding the condition of a refund there is no obligation to provide a refund or credit in situations like, but not limited to, the following:

  • you are not satisfied with the placement of your ads or banners that have been allocated to your account;
  • you have changed your mind about an item or service;
  • you bought an item or service by mistake;
  • you do not have sufficient expertise to use the item or service;
  • you ask for goodwill;

If we decide to issue a monetary refund, this will be done by refunding to the same payment method used to make the purchase (you might incur fees from your financial institution, which we cannot refund). Crozdesk Ltd may, at its sole discretion, decide to refund credits which will be added to your account.


Taxes

Prices and fees are inclusive of transactional taxes where relevant (like sales tax, VAT and GST), unless otherwise stated. This may include, but is not limited to, the following: (a) European Union VAT (if applicable) and (b) any other transactional taxes Crozdesk states on the site.

The Vendor is responsible for paying all other fees and taxes associated with his use of the Crozdesk platform wherever levied (including withholding tax, if applicable). Crozdesk may collect geographical location information to determine the Vendor’s location, which may be used for tax purposes (location information given to Crozdesk or collected by Crozdesk must be accurate for tax residency purposes. It is the Vendor’s responsibility to ensure correct identification of his location is possible).


Curated Lists

Vendors who have opted to purchase a Credit package which promises an inclusion in Curated Lists as an additional benefit, and who have been approved by Crozdesk’s review team, will be added (in due time) to at least one of the lists classified as “Curated Lists” on the Website. These include, but aren’t limited to, lists classified under “App Toolkits” and/or “Watchlists” as visible in the sitemap on crozdesk.com. At the discretion of Crozdesk, services may or may not be removed from Curated Lists once a corresponding Credit package is used up. Vendors have no claim to be featured on Curated Lists unless otherwise agreed in writing. The number and name of Curated Lists and the placement of services on specific lists may be subject to change, at the sole discretion of Crozdesk Ltd. Crozdesk maintains the right to add, withdraw or change the name of these lists as it sees fit. Crozdesk Ltd cannot guarantee any predefined length or limit on any of these lists, and reserves the right to sort services at its discretion. Services will generally be featured in a Curated List within a week after being approved by Crozdesk’s review team. Service Providers may request to be added to a specific Curated List by sending an email to Crozdesk’s team, however the changing or reordering of lists is subject to Crozdesk Ltd’s discretion alone. We would like to emphasize at this point that Crozdesk Ltd cannot guarantee that a Product will be featured in any specific list or any specific position in a given Curated List.


Expert Software Reviews

“Expert Software Reviews” or “Expert Product Reviews” offered as a stand-alone service or extra benefit to a credit top up package will generally be written based on publicly available information and Crozdesk reserves the right to decide what to include or omit at its sole discretion. Crozdesk will aim to give a fair representation of the reviewed Product. Crozdesk Ltd. maintains the right to change or remove published reviews at any time without notice and at Crozdesk’s sole discretion.
